What is cosmofunding?

cosmofunding is an offering provided by Zürcher Kantonal­bank and the digital plat­form for access to the Swiss foreign capital market in the form of private place­ments.

Why cosmofunding?

  • cosmofunding offers access to the Swiss financing market in private place­ments. Issuers benefit from access to a broad group of investors, standard­ised docu­men­tation and auto­mated banking pro­cesses.
  • Investors receive anonymous access to investment oppor­tunities.
  • The FINMA-recognised credit rating from the inde­pen­dent rating agency “fedafin” can provide investors with a relevant basis for assessing the credit­worthiness of issuers and support invest­ment decisions.
  • Securitisation to an instrument that is eligible to be held in a custody account enables easy settle­ment and transfer­ability for all parties involved.

Which role does cosmofunding play?

cosmofunding acts as a broker between the investor and the borrower. For trans­actions, cosmo­funding handles the issuance process (including securiti­sation), the transfer and paying agent functions, including the asso­ciated documen­tation and contracts.

Who is fedafin?

fedafin is a FINMA-recognised rating agency indepen­dent of Zürcher Kantonal­bank. Based on the fedafin rating and other factors, investors decide whether and under what con­ditions they wish to make an offer or partici­pate in an issue. Often, a published rating is a pre­requisite for certain investor groups to act as lenders.

Can you be both an issuer and an investor?

Yes, this is possible.

Who bears the credit risk of financing?

The credit risk is borne solely by the investor through the pur­chase of the security or the signing of a loan. The investor is compen­sated for bearing the risk via the credit spread, a mark-up above the risk-free interest rate.

Is there a transaction obligation for investors?

Registered investors are not obligated to partici­pate in a trans­action as long as they have not sub­mitted an offer. However, once an offer is sub­mitted by the investor, it is binding. The issuer thus re­ceives a binding offer and can decide to accept or reject the offer up until the end of the selected procedure.

Do you need an account with Zürcher Kantonalbank?

No, you do not need to have a bank account with Zürcher Kantonal­bank. You can process the trans­action via your own bank.

Who can register as an investor?

The following profiles of compa­nies qualify as investors for cosmo­funding:

  • Financial intermediaries (bank, securities trader, pension fund, fund manage­ment company or SICAF/SICAV, life insu­rance company, CISA invest­ment com­pany, CISA or Finma-licensed asset manager)
  • Authorities (federal government, canton, municipality, public institu­tions/foundations)
  • Large operational companies with profes­sional treasury function

Is there a transaction obligation for issuers?

There is no obligation for issuers to carry out trans­actions tendered via the plat­form.

Investors for their part submit a binding offer. The issuer thus receives a binding offer and can decide to accept or reject the offer up until the end of the selected procedure.

Do you need an account with Zürcher Kantonalbank?

No, you do not need to have a bank account with Zürcher Kantonal­bank. You can process the trans­action via your regular bank.

How do you register for cosmofunding as an issuer? What are the costs?

Registration is free of charge. Issuers incur fees when finan­cing is accep­ted. These costs are shown transpa­rently. We will be happy to explain our service and fee model to you and start the on­boar­ding process if you are inte­rested. Please arrange a demo

Who can become an issuer?

The following categories of com­panies qualify as issuers for cosmo­funding:

  • Financial service providers (bank, securities trader, pension fund, fund manage­ment company or SICAF/SICAV, life insu­rance company, CISA invest­ment company, CISA asset manager)
  • Authorities (federal government, canton, munici­pality, public institu­tions/founda­tions)
  • Large companies in Switzerland
